Terms of Service
Effective date: August 16, 2026. These terms govern services provided by GMScalez in Iowa, USA.
1. Services
GMScalez provides local SEO, website, and digital marketing services as described in the selected package. Deliverables are defined per package. Methods and tools may improve over time; the client is owed the stated deliverables, done well.
2. Term and cancellation
Services are month to month with no long-term contracts. Cancel in writing before the next billing date. Service continues through the paid period. There are no cancellation fees.
3. Fees and billing
Setup and monthly fees follow published pricing and are billed via Square. Work pauses after failed or late payment. Pricing changes receive 30 days’ written notice and do not apply retroactively.
4. No ranking guarantees
Search engines control results. GMScalez does not guarantee rankings, traffic, lead volume, or revenue. We commit to the listed work, active profile management, and reporting from Google data.
5. Client responsibilities
Clients provide timely approvals, accurate business information, and account access where needed. Approval delays delay deliverables, not billing.
6. Account access and credentials
GMScalez accesses accounts only to perform services, protects credentials with reasonable safeguards, and relinquishes access when service ends. Accounts created for the business belong to the client.
7. Intellectual property
After full payment, the client owns created website content, blog posts, and produced images. GMScalez keeps ownership of pre-existing tools, software, templates, processes, and know-how. Anonymized results may be referenced unless the client opts out.
8. Third-party platforms
Google, hosting providers, and publishing platforms may change, suspend, or remove features. GMScalez is not liable for third-party actions, algorithm changes, or outages.
9. Confidentiality
Each party keeps the other’s non-public business information confidential and uses it only as needed to perform under these terms.
10. Limitation of liability
To the maximum extent permitted by law, total liability is capped at fees paid in the three months before a claim. Neither party is liable for indirect or consequential damages, including lost profits, data, or opportunities.
11. Indemnification
The client warrants it has rights to supplied photos, logos, service claims, and other materials, and will hold GMScalez harmless from claims arising from those materials or instructions.
12. What happens when service ends
The client keeps its domain, website content, Google Business Profile, analytics, and accounts. GMScalez hands over access and removes its own. Nothing is deleted automatically.
13. Governing law
These terms are governed by Iowa law. Disputes go first to good-faith negotiation, then to courts in [LEGAL COUNTY], Iowa.
14. Changes
Updates are posted here with a revised date. Continued service after changes means acceptance.
